Section 4. A partnership, firm, cor-
poration or company which is now, or
which hereafter becomes, an Active
member of this Association shall be
entitled to designate, in writing, one
member of the partnership, or one offi-
ciate members of this Association shall
be eligible for Commercial membership
in this Association.
Executive Committee, or Board of Di-
rectors may from time to time deter-
mine.
Section 8. Application for Commercial
membership shall be made in writing-;
such application to describe the general
nature and character of the product
applicant proposes to display, exhibit
or sell, and to state the applicant's
agreement to comply with the Consti-
tution, By-Laws and Regulations gov-
erning Commercial membership. Such
application is to be accompanied by
required annual Commercial member-
Honorary
Section 11. Any person who has ren-
dered distinguished service to the Asso-
ciation or the interests represented in
it may be elected to Honorary Mem-
bership. Any Active member of this
Association may nominate, in writing,
any person except an Active Member
of the Association for Honorary Mem-
bership in the Association. All nomina-
tions for Honorary Membership shall be

cer or employee of the firm, corporation
or company as its official representative
in its relations and affairs with this
Association. The representative so des-
ignated may be replaced by another
qualified person at the discretion of the
partnership or the member firm. Active
members, or individuals representing
Active members, shall have all rights
and privileges of membership, including
the right to vote at all meetings of the
Association and to hold office in the
Association.
Associate
Section 5. Any person in the employ
of an Active member of this Associa-
tion shall be eligible for Associate mem-
bership in this Association. Associate
members shall have all of the rights,
privileges, and duties of membership
except the right to hold office in this
Association and excepting the right and
privilege of voting at elections and on
policy matters at annual meetings.
Section 6. Application for Associate
Membership shall be in writing, shall
bear the approval of the Active member
of the firm and shall be accompanied
by the required annual association mem-
bership dues. All applications for Asso-
ciate membership shall be considered
by the Membership Committee and ex-
amined in the manner prescribed by the
Board of Directors. Upon election, the
applicant shall be promptly notified and
be furnished with proper credentials.
When the application for Associate
Membership has been rejected, the ap-
plicant shall be so notified. •
Commercial
Section 7. Any person, partnership,
firm, corporation or company which is
actively and legitimately engaged in
the business of manufacturing, distri-
buting, jobbing, selling at wholesale
or otherwise furnishing for profit, mer-

ship dues. All applications for Com-
mercial membership shall be examined
by the Secretary or Executive Secretary
of this Association and approved or re-
jected by the Executive Committee. Ap-
plicants for Commercial membership
shall be promptly notified of the action
or decision of the Executive Committee.
Commercial members shall have all of
the rights, privileges and duties of
membership except the right to hold
office in this Association and excepting
the right and privilege of voting at
meetings of the Association. Commer-
cial membership shall be on an annual
basis and annual renewal of Commer-
cial membership shall require approval
of the Executive Committee.
Section 9. No person, partnership,
firm, corporation or company, conducted
for profit, shall be eligible to rent, use,
or otherwise obtain exhibit or display
space or facilities at any Convention,
Meeting or Trade Show of this Associa-
tion unless such person, partnership,
firm, corporation or company is a Com-
mercial or Active member of this Asso-
ciation in good standing.
Guest
Section 10. Active and inactive part-
ners, directors, stockholders and em-
ployees of any firm represented by Ac-
tive membership and such members of
other music trade associations and such
other persons of interest or importance
to the Association as the President, or
the Secretary with the advice and con-
sent of the President, may invite or
designate shall be eligible to Guest
Membership at any Annual Convention
or Trade Show of the Association upon
identification and registration and upon
payment of the registration fee, if any.
Said Guest Members shall not hold office
or vote, but shall have the privilege of
attending the exhibits and the eduea-
considered by the Board of Directors in
session duly assembled, and such nom-
inations shall be confirmed upon ma-
jority vote of Directors present. Nom-
inees for Honorary Membership, after
proper approval by the Boad of Direc-
tors, shall be submitted to the annual
meeting of the members of this Asso-
ciation for election to Honorary Mem-
bership. Persons elected to Honorary
Membership shall be notified of such
election and shall be furnished with
proper credentials. Honorary Members
shall have all of the rights and privi-
leges of an Associate Member.
Section 12. All members of this Asso-
ciation shall, in their relations to and
with this Association, be governed by
the provisions of this Constitution and
By-Laws as at present adopted, or as
amended.
Section 13. Membership in this Asso-
ciation may be terminated by voluntary
resignation in writing. No such resig-
nation shall be accepted unless the re-
signing member shall at the time be in
good standing and shall have paid all
indebtedness to the Association, includ-
ing dues for the fiscal year in which
such resignation is tendered. Resigna-
tions of members shall be referred to
the Membership Committee for its con-
sideration and action.
ARTICLE IV
Section 1. The Annual Dues of an Ac-
tive Member shall be based on the an-
nual Net Sales volume of his firm of all
retail sales of merchandise as described
in Article III, Section Two (2) and the
accessories, supplies, parts and service
thereto, as shown on the firm's books
or its last Federal Income Tax Return,
and shall be as follows:
