Sec. 1. O F F IC E R S. The officers
o f this organization shall consist of
a President, First Vice President,
Second Vice President, Third V ice­
President, R ecording Secretary, F i­
nancial Secretary and Treasurer, who
shall be and shall constitute the
Board o f Directors consisting of
seven.
Sec. 2. The terms o f office o f all
directors shall expire at the first
regular meeting o f the Board o f Di­
rectors after the annual meeting.
The annual meeting shall be desig­
nated in the by-laws o f this associa­
tion. The officers shall be elected by
a ballot and their election as such
officers shall also constitute their
election as director and they shall
hold their respective offices fo r one
year from and after their installation
in dffice or until their respective suc­
cessors are duly elected and qualified.
Sec. 3. In case a vacancy arises
in any official position, the same shall
be filled by the m ajority vote o f the
remaining directors at a regular
meeting o f such Board as at a spe­
cial meeting called fo r that purpose,
which special meeting may be called
by the President. A ny person or
persons so elected shall hold such
office until the next installation o f
officers or until his or their succes­
sors shall be duly elected and quali­
fied.
Sec. 4. Directors shall constitute
the executive committee and no per­
son shall be an officer without being
a director and vice versa.

Convention
Sec. 1. The annual meeting shall
be and hereby is denominated as a
convention and this association shall
by by-law designate the manner and
method o f calling and arranging and
providing fo r the first annual conven­
tion and thereafter each successive
convention may and shall by a ma­
jority vote determine the place and

the exact time when the succeeding
convention shall be held.

Powers o f the Association
Sec. 1. This association shall have
original and appellate jurisdiction in
all matters pertaining to the general
welfare o f this association. It may
entertain and
determine
charges
against any o f its members, or mem­
bers o f associate or subordinate or
branch bodies, which may be char­
tered to operate, by this association
and which may be brought to it on
appeals from such associate, subordi­
nate or branch bodies or from the
action o f any state convention and
the decision o f this association shall
be final. It shall issue and may re­
voke charters to associate, subordi­
nate or branch bodies in any state in
the union. It shall have the power
to enact laws fo r its own government
and the government o f the State
conventions and other subordinate,
associate or branch bodies and fo r
the control and management o f the
business o f this association generally,
and to provide penalties fo r the vio­
lation thereof. It shall have power
to prescribe the rights, privileges,
and duties and responsibilities o f it­
self, its state conventions and its
other subordinate, associate or branch
bodies and the membership o f this
association and to finally determine
the same. It shall prepare and pub­
lish its constitution and by-laws. It
shall have power to provide fo r the
levy o f assessments, premiums dues
and taxes on these members neces­
sary to pay and defray all the claims
and expenses o f management. It
shall zealously guard the rights o f
the membership branches, subordi­
nate, associate bodies and state con­
ventions against unlawful encroach­
ment thereon and against unlawful
encroachment on the business in
which its membership is engaged in
(which is that o f operating coin con­
trolled devices) on the part o f any
person, firm, corporation, body po­

litic, municipal corporation or sov­
ereign power and shall have gener­
ally such powers and may perform
such duties as it may deem wise fo r
the welfare o f the association.
It
shall be the sole judge o f the election
and qualification o f its own officers
and members and shall estabish rules
fo r their government and may by it­
self or through its executive commit­
tee suspend or remove any officer or
member fo r violating any o f the
laws o f this association or doing any
other act or thing which tends to
bring reproach upon this association
or business in which the membership
fit large is engaged in. It shall have
the power and it shall by by-law
from time to time, as the executive
committee deems proper, exact of
•any or all officers a bond to the as­
sociation conditioned and ir. such
form and sum as thf; executive cor*-
ivuvlee may determine, which bond
shall be approved by and deposited
with the recording Secretary o f this
association.

Duties o f Officers
Sec. 1. P R E S ID E N T . It shall
be the duty o f the President to at all
times act as the controlling executive
o f the association and to proside at
all meetings o f the Board o f Direc­
tors and the executive committee and
shall have a general supervision over
the affairs o f this association; he
shall discipline and dispose o f charges
against associate, subordinate and
branch bodies and members fo r vio­
lation o f the laws o f this association
or appeals from decisions o f same
under the direction and instruction
o f the executive committee and board
o f directors; he shall construe the
laws o f this society and whenever
necessary to properly do this shai 1 be
at liberty to consult and confer with
ar. attorney o f his own choosing f< r
this purpose. I f found correct, he
shall approve every claim and sign
every warrant drawn on the deposi­
tory o f the funds o f this association
before the same shall be paid and

shall be paid and shall perform such
other duties as may be imposed on
him by this constitution or the by­
laws adopted thereunder and gener­
ally carry out the will o f the Board
o f Directors or executive committee.
He shall appoint all committees
not otherwise provided for.
His decision on all questions in­
volving the construction and inter­
pretation o f the laws o f this associa­
tion shall be final and binding upon
all officials and members unless re­
versed or modified by a two-thirds
vote o f the Board o f Directors or by
a two-thirds vote o f th.? National
convention he’ d next after his deci­
sion shall have been filed as tier fin -
after provided for.
Such decision
shall be reduced to writing whenever
request is made to do so by any
member o f the executive committee
or Board o f Directors, and shall be
filed with the Secretary o f the A sso­
ciation. A ny person aggrieved by
any such decision may within six
months after ,the rendering o f such
decision appeal therefrom to the ex­
ecutive committee or Board o f Di­
rectors, which shall pass upon such
appeal at its next regular meeting or
at a special meeting o f the Board o f
Directors called fo r such purpose.
The person losing such appeal may
take the same directly to the next
national convention. The decision o f
the Board o f Directors or executive
committee shall be final unless with­
in thirty days from said decision on
appeal there shall be filed by the los­
ing side a declaration o f intention to
appeal therefrom to the next session
o f the national convention.
H e shall have power to arrest or
revoke charters granted to branches,
associate or subsidiary bodies fo r re­
fusing to obey the constitution and
laws o f this association; fo r neglect­
ing or refusing to make reports
which may be required by this con­
stitution and the by-laws o f this as­
sociation or by direction o f a national
convention or the executive commit-
